Sr. Corporate Paralegal

This position is a paralegal role that supports all service divisions of CCBSS including Procurement, Customer Business Solutions and Business Services North America. This paralegal will be responsible for working directly with business clients to review and draft contracts and assist with all aspects of the negotiation process.  This role will also assist the Legal, Finance and Human Resources departments with Company projects, including corporate governance, drafting policies, and overall company compliance. This role is expected to take a leadership role in training and compliance and will manage projects to improve and streamline internal processes.

The successful candidate will manage a high volume of general contractual and compliance matters. The paralegal filling this role is someone who must have substantive experience working with and drafting complex legal agreements and be able to prioritize a high volume of assignments in order to meet critical deadlines.  Further, the candidate must have excellent communication skills and be able to work in a cross-functional team setting, including meeting with business clients independently to identify issues, using judgment and experience to escalate matters to attorneys.

FUNCTION SPECIFIC ACTIVITIES:

  • Prepare and negotiate complex supply agreements and services agreements
  • Respond to requests from internal and external stakeholders; review correspondence on behalf of the Company and respond appropriately after consultation with stakeholders
  • Educate and train associates on Company policies and the contracting process
  • Evaluate and resolve requests from internal associates regarding Company policies and compliance
  • Miscellaneous duties including project management and legal research as assigned by Company attorneys

REQUIREMENTS:

  • Must have a paralegal certificate and a bachelor’s degree
  • Must have at least 5 - 8 years of relevant experience drafting complex contracts in a corporate setting and must be able to demonstrate specific knowledge and understanding of standard contractual terms (e.g., indemnification, limitations of liability, warranties, etc.) and their significance in an agreement, and interpret the same to clients.
  • Must have experience identifying and articulating potential issues provided in an agreement.
  • Must have knowledge of all MS Office tools (e.g., Word (including working with track changes function), PowerPoint, Excel) and Adobe tools
  • Must have experience revising and identifying revisions in an agreement.
  • Must possess strong analytical and problem-solving skills
  • Must be organized and able to articulate, prioritize, and juggle several assignments and deadlines including timely follow ups with clients.
  • Must have public speaking experience and demonstrate strong oral and written communication skills applicable to all levels (including training large groups)
  • Must be able to work independently, take initiative, and drive processes with little guidance
  • Must be flexible and adaptive in handling urgent matters
